1. Definitions

• Plyn , Service - an online SaaS productivity tool available at http://app.plyn.work/ website, desktop, and mobile app created by Quantified sp. z o. o.
• Quantified - Quantified Sp. z o.o., a limited liability company, incorporated under the laws of Poland. Registered address: ul. Modlińska 246c, 03-152 Warsaw, Poland. KRS (Polish National Court Register number) 0000778297; NIP 5252784676; EU VAT: PL5252784676; Regon 382896552. The share capital of the company amounts to PLN 5000, paid in full.
• User - a natural person using Plyn provided by Quantified by electronic means on the Service (notably by registration of an Account)
• Client - A User who creates a Team within the Service or enters into a contract with Quantified. This term can refer to individuals or entities with a business relationship with Quantified, either by creating a Team or through a contractual agreement.
• Terms and Conditions – these terms and conditions of the Service provided by Quantified in accordance with Art. 8 of the Act of 18 July 2002 on provision of services by electronic means (consolidated text: Journal of Laws of 2019, item 123, 730);
• Account - a User account created to access the Service.
• Team - a group of Users who are linked by a common entity, such as a company, organization, or project. Teams may consist of individual members with varying roles and permissions, typically organized under a designated team owner or Team Admin. Within Teams Users can collaborate, share resources, and access shared features within the Service.
• Seat - A seat represents a single user or a specific license granting access to the Service.
• Team Admin - a User who created a Team or was designated to have unlimited administrative privileges over the Team and its data.
• Content - any text, files, photos or any other data that Users upload via the Service itself or via machine to machine protocols to Plyn.
• Contract – a contract as per the Civil Code concluded remotely by and between Quantified and the Client, the subject of which is the Service.

2. General provisions

1. By using the Service, User accepts the Terms and Conditions.
2. To use the Service, User must be at least 18 years old. By using the Service, User confirm that they meet this requirement.

3. Scope

1. Quantified developed Plyn to make it easier for businesses to collect, process, annotate, discuss, and manage complex relations between many data points that exist in daily operation of any business.
2. Plyn introduces the concept of Item and Collection of Items. Item can represent anything, both real things and abstract concept. Collection is a Template for Items that reside in that Collection.
3. This basic concept allows Clients to build complex systems like CRMs, asset management systems, project management systems, and more.
4. Apart from the core functionality described above, Plyn delivers additional features, such as different data views, notifications on data changes etc. Full list of these features can be found in Plyn documentation at https://plyn.work/docs .

4. Changes to the Service

1. By using the Service Client understands that Plyn is constantly adding new features and extends features that already exist. Client agrees that from time to time the user interface can change to reflect those additions and extensions.
2. Quantified ensures that any workflows or processes configured by the Client, along with their data, will remain functional despite the changes outlined in Section 4.1.

5. Availability

1. We ensure high availability of the Service. Plyn is delivered in continuous manner meaning there are no down times of the service. Each time Service is updated, all users will be prompted with information about update availability which they can either accept and refresh browser window or ignore for 5 minutes to finish their work. Clicking button on the pop-up or browsers page refresh button is the only action needed to upgrade to a new version.
2. We maintain the same availability as underlying technologies which is generally >= 99.95% which is on average 21m 44s of downtime monthly.
3. Your Account may be suspended due to unlawful activity described in article 8 of these Terms and Conditions, failure of payment and breach of this contract in which case the Service will not be available to Client and/or Team's Users.
4. We reserve the right to temporarily suspend the Service if we detect activity indicating that an unauthorized party may be attempting to access Client data. In that case Quantified is required to contact Client as soon as possible and suspend all affected accounts or the whole Service until the situation is resolved.
5. Service is available over the Internet. If Client has no access to the Internet Service will not work. Quantified doesn't control internet access and Users are responsible for maintaining connectivity.

6. Fees

1. Plyn is available in several subscription plans outlined on our pricing page https://plyn.work/pricing .
2. Plyn does not limit features based on the plan a Client chooses. The differences among plans are based on the number of Seats, the level of support, and the availability of other services. Details are provided on the pricing page https://plyn.work/pricing .
3. The number of Seats in a subscription plan determines the maximum number of Users who can access the Service at any given time. Each Seat is allocated to an individual User but can be reassigned to a different User if needed, as long as the total number of Seats does not exceed the plan's limit.
4. Each Team requires a separate plan.
5. Changes to a Team's subscription plan, including switching to a different plan or altering the number of Seats, will take effect at the start of the next billing month. Any adjustments to billing, whether an increase or decrease, will be reflected in the next invoice.
6. If a Team has a yearly subscription and wants to add additional Seats during the subscription period, the Customer will receive an invoice immediately to cover the additional cost from the start of the next billing month through the end of the current subscription.
7. Clients with yearly plans cannot decrease the number of Seats once purchased.
8. Prices are subject to change, but any adjustments for existing Clients will not take effect until one year from the date of announcement.

7. User Accounts

1. To access the Service, User must create an Account.
2. Users are responsible for maintaining the security of their Accounts and ensuring that all information provided is accurate and up to date. Especially Users are responsible for securing their email addresses and social media account that were used for registering on the Service.
3. User must notify us immediately of any unauthorized use of their Account by sending email to support@plyn.work .

8. Content restrictions

1. Quantified is not responsible for the content that Users upload to the Service. User expressly understands and agrees that they are solely responsible for their Content.
2. Users may not upload any Content that is unlawful, offensive, upsetting, intended to disgust, threatening, libelous, defamatory, obscene or otherwise objectionable.
3. You agree not to engage in any unlawful or inappropriate conduct while using the Service. This includes, but is not limited to, violating any applicable laws, uploading malicious content, or infringing on the rights of others.
4. Quantified can limit or revoke the use of the Service if the User posts aforementioned objectionable Content.

9. Client and User responsibilities

1. When Client creates a Team in Plyn they become its Team Admin.
2. Team Admin is responsible for identifying and managing Team members, data they input and actions they perform on Plyn.
3. Transferring Team to another user is possible through written disposition sent to support@plyn.work .
4. All data and configuration changes are applied in real-time, which means no page reloads are needed to see changes made by other Users. Users can manage access to data on Collection and Item level. Changes to access is applied immediately including revoking access to data. Users should leverage this feature to quickly act to mitigate any potential risk of exposing data without proper permissions.

10. Intellectual Property Rights

1. Ownership of the Service: All rights, title, and interest in the Service, including its software, design, logos, trademarks, and other intellectual property, are owned by Quantified Sp. z o.o. or its licensors. You may not use, reproduce, distribute, or create derivative works from any part of the Service without explicit permission.
2. Ownership of User Content: Users retain ownership of the content they upload or create within the Service. By submitting content to the Service, you grant Quantified a non-exclusive, worldwide, royalty-free license to use, reproduce, distribute, and display your content for the purpose of operating and improving the Service.
3. User License to the Service: Quantified grants you a limited, non-exclusive, non-transferable license to access and use the Service in accordance with these Terms and Conditions. This license does not grant you any ownership or intellectual property rights beyond what is explicitly stated.
4. Restrictions on Use: You may not modify, reverse-engineer, decompile, or disassemble any part of the Service. You may not use the Service to create competing products, sell access to the Service, or engage in any activity that infringes on Quantified's intellectual property rights.
5. Trademark Rights: Plyn's logos, trademarks, and other branding elements are the property of Quantified. You may not use these trademarks without prior written permission. Misuse of Plyn's trademarks is strictly prohibited.
6. Copyright Policy: Quantified respects the intellectual property rights of others. If you believe that your copyright has been infringed by content on the Service, please contact us at support@plyn.work . We will respond in accordance with applicable laws and may remove content that violates copyright laws.

11. Disclaimers and Limitation of Liability

1. The Service is provided "as is," without warranties of any kind.
2. Quantified is not liable for any direct or indirect damages arising from the use of the Service, to the extent permitted by law.
3. Plyn has a free plan, which has all the features to test extensively by up to 3 users. When Client decides to switch to a paid plan, Quantified is not required to return payment, unless point 4.2 is breached and Client has not agreed to alternative solutions provided by Plyn. In that case Quantified is required to return payment from the date when Plyn no longer has been useful for the Client to the end of paid term.
4. The Customer agrees to indemnify and hold Quantified, along with its officers, directors, and employees, harmless against any claims, lawsuits, damages, expenses, costs (including legal fees), or other liabilities ("Losses") that arise from or are connected with: (i) the Customer's use of the Service; (ii) the Customer's violation of their obligations under Section 8; or (iii) claims from third parties alleging that the Customer's content caused harm.
5. In the event of claims made by third parties as mentioned in point 4 of this paragraph, the Customer agrees to promptly provide Quantified with all necessary information to examine the claim and to prepare a defense. The Customer must ensure that the information is accurate, complete, and provided in a timely manner.
6. By using the Service, the Client agrees to hold Quantified harmless and indemnify Quantified against any loss of third-party personal data that has been entered into the Service, misused, or disclosed in an unauthorized manner.

12. Governing Law and Dispute Resolution

1. These Terms are governed by Polish law.
2. Disputes will be resolved through arbitration or by courts in Warsaw, Poland.

13. Final provisions

1. If any part of these Terms is found to be illegal or unenforceable, the remaining provisions will still apply
2. Quantified reserves the right to modify these Terms. Significant changes will be communicated to Users, and continued use of the Service after notification constitutes acceptance of the new Terms.
